SPLIDU MEMBERSHIP TERMS — FOR MEMBERS

These terms apply when you buy a splidu Membership on splidu.com. Please read them with the splidu Privacy Notice. By clicking “Accept and subscribe” you agree to them (Federal Decree-Law 46/2021 on Electronic Transactions). A copy is emailed to you so you always have it.

1. Who you are dealing with

1.1 A splidu Membership is a monthly dining membership at a named restaurant. Your contract for the meals is with that restaurant — identified by its legal entity name at checkout, on your confirmation and on every invoice — which prepares and serves your food as principal and is responsible for its quality and safety.

1.2 splidu (Fused Portal Services, trade licence 1027773, TRN 104587673500003, Citadel Tower 2103-C-35, Business Bay, Dubai) acts as the restaurant’s disclosed agent: we run the platform, sell the membership on the restaurant’s behalf, collect payments, and provide support. splidu does not prepare or serve food.

1.3 Memberships are sold and managed on splidu.com only.

2. What your membership is

2.1 Your membership gives you a stated number of visits per calendar month at your restaurant, for the meal period shown (for example Lunch or Dinner), at the price shown.

2.2 Your visit allowance runs per calendar month. Unused visits do not carry forward and you cannot exceed your allowance — the counter stops at your limit. If you requested visits during a month and the restaurant could not seat you at all that month, section 6 applies (that month is treated as not delivered).

2.3 The restaurant describes its menu offering on its page; menus can change. Any restriction on what your membership covers must be stated on the membership when you buy it.

3. Paying

3.1 What you pay each month. Your monthly amount is shown at checkout before you subscribe and is made up of: the membership price (paid to your restaurant), the splidu Member Service Fee (the amount shown at checkout, paid to splidu), and 5% VAT on each where it applies.

3.2 Your first month. When you subscribe part-way through a month, your first charge — and your visit allowance for that month — are prorated to the days remaining. From the 1st of the next month you pay the full monthly amount, on the 1st of each month in advance, to the card you saved.

3.3 Invoices. Each monthly charge produces two documents: (1) for the membership price — where your restaurant is VAT-registered, a tax invoice issued by splidu as the restaurant’s agent, in the restaurant’s name and under the restaurant’s TRN (Article 59, Cabinet Decision 52/2017); where it is not registered, a receipt that neither states nor charges VAT on the meals; and (2) for the Member Service Fee, splidu’s own tax invoice under splidu’s TRN (the one at the foot of these terms). If the rate of UAE VAT changes, VAT-inclusive amounts change accordingly from the effective date.

3.4 If a charge fails. Your membership is placed On hold immediately: visits cannot be redeemed until the month is paid. We retry your card and email you to update it; the moment payment succeeds, your membership is Active again for that month. Statuses: Active — paid and usable; On hold — unpaid, visits blocked; Cancelled — ended, no further charges. A membership that stays On hold for six consecutive months is treated as ended.

4. Visiting

4.1 Reserve your visit through the platform. The restaurant responds within 24 hours and, if it cannot seat you on your chosen date, offers a reasonable alternative.

4.1A Your membership pass. Your membership is personal to you and cannot be transferred or shared. You provide a photograph at checkout, before your first payment is taken; a membership cannot be issued without one, and if you do not provide one the membership is not sold and you are not charged. If you are charged and no membership can be issued because no photograph was provided, that month is treated as not delivered under section 5.3 and refunded under section 6. Your photograph appears on your membership pass so the restaurant can check by eye that the pass belongs to the person presenting it; splidu does not run facial recognition or any other automated analysis on it. The restaurant may not subject it to facial recognition, face-matching, template extraction or any other automated or biometric analysis, whether itself or through any third party, and may not copy, download, publish or share it. You cannot change the photograph yourself — this protects the pass against being altered after it is issued — but you can ask splidu to replace it at any time, by emailing info@splidu.com, and we do. It is deleted within 30 days after your membership ends, however it ends; a membership On hold has not ended, and the photograph is kept while the membership can still be reactivated, but a membership that stays On hold for six consecutive months is treated as ended and the photograph is deleted within 30 days of that point. splidu handles it as described in the splidu Privacy Notice.

4.2 At the restaurant, your visit is checked in on your phone: staff enter the venue PIN and one visit is deducted. If your phone is unavailable, the restaurant checks you in from its dashboard. A visit not recorded at the time is recorded no later than the end of the next business day. The platform’s visit records are prima facie evidence of your visits — they stand unless shown to be wrong, and you can dispute any entry via support.

4.3 If you hold a confirmed reservation and do not attend without cancelling it through the platform, the restaurant may record a no-show on the day of the visit, which counts one visit from that month. A reservation you cancelled is never a no-show, and you may dispute a no-show via support.

5. Cancelling and ending

5.1 You cancel. Cancel any time in your account on splidu.com. Your membership runs to the end of the month you have paid for, you keep its visits, and there is no charge from the next month. A paid month is final: there are no refunds because you cancel or change your mind — partial or otherwise. Money comes back only under section 6.

5.2 The programme ends. The restaurant or splidu may end the membership programme by notice. Your membership continues to the end of the calendar month following the month notice is given; you are charged and keep your visits for it as normal, and your recurring payment stops from that date.

5.3 Fault and closure. If the restaurant closes, loses its licence, the membership is withdrawn for cause, or a paid period cannot be delivered — including a month in which the restaurant could not seat you at all despite your requests — splidu, on the restaurant’s behalf as its agent, refunds you the undelivered part and, where the membership ends, cancels your recurring payment.

5.4 If you withdraw your photograph. Your membership pass cannot exist without your photograph (clause 4.1A). If you ask us to delete it, or object to our using it, we end your membership at the end of the month you have paid for — you keep that month’s visits, no further payment is taken, and the month you have paid for is not refunded.

6. Refunds

6.1 Refunds arise only in the section 5.3 cases — never at a member’s election. Where one is due, it is credited in full as splidu Tokens to your splidu account, usable against any purchase on the platform. Tokens are not money and are not a voucher: they are not sold to you and have no value of their own — they record an amount you already paid, applied to a future purchase, with VAT accounted for on that purchase when made. Tokens are governed by the Token section of the splidu Terms and Conditions.

6.2 If you prefer the refund back on your card instead of Tokens, tell support at the time of the refund and it is returned to your original payment method at no cost to you — the situation was not your fault. (Converting Tokens to your card at any later time follows the Token rules in the splidu Terms and Conditions.) Where a tax invoice was issued for a refunded charge, a tax credit note is issued to you in the restaurant’s name and under its TRN (Article 62, Federal Decree-Law 8/2017; Article 60, Cabinet Decision 52/2017).

6.3 Nothing in these terms limits your rights under UAE consumer protection law (Federal Law 15/2020), and nothing excludes any liability of splidu that cannot be excluded by law.

7. Food, allergies and complaints

7.1 The restaurant is responsible for your food, its preparation and food safety, under UAE food-safety law.

7.2 At every reservation you confirm that you are aware of your own allergies and dietary restrictions and that you have reviewed the ingredients and dietary information the restaurant publishes. This confirmation is your own declaration and a condition of the visit. Separately, if you choose to share allergy or dietary details with us, that is sensitive personal data: we pass it to the restaurant’s kitchen only with your explicit consent, only for preparing your visit, and the restaurant may not use it for anything else or keep it beyond your visit and its food-safety records. You can withdraw that consent at any time.

7.3 If something goes wrong — a meal, a visit, or the restaurant honouring your membership — contact splidu at info@splidu.com. We investigate with the restaurant; where the restaurant is at fault, section 6 applies. Claims for personal injury or food safety lie against the restaurant, and splidu provides the records you reasonably need. You may also raise consumer complaints with the UAE Ministry of Economy or the Dubai Department of Economy and Tourism.

8. Changes

8.1 A live membership never changes. Its price and visit entitlement stay as bought for as long as you keep it. If the restaurant wants different terms, your membership is ended under 5.2 (always with the full notice month) and a new membership is offered — subscribing to it is your choice.

8.2 We may update these terms on notice; material changes take effect no earlier than 30 days after we notify you and never apply to a month already paid. If you do not accept a change, cancel under 5.1 before it takes effect.

9. Your data

splidu handles your personal data as described in the splidu Privacy Notice on splidu.com. The restaurant receives only what it needs to host your visits — your name, reference, visit entitlement, your membership pass photograph, and, with your consent, allergy and dietary information. Your photograph is shared only with the restaurant your membership is with, and its staff may view it only to check that a pass belongs to the person presenting it — and for that data the restaurant is an independent controller under Federal Decree-Law 45/2021, responsible for its own compliance.

10. General

10.1 These terms are governed by the federal laws of the UAE as applied in Dubai; the courts of Dubai have jurisdiction. This does not deprive you of protections under UAE consumer law.

10.2 Your acceptance is recorded electronically — name, email, IP address, date and time (with timezone), each confirmation given, the version of these terms, and a certificate reference — retained for seven years from the end of the year in which your membership or account ends, and binding under Federal Decree-Law 46/2021. Neither party will object to these records on the ground that they are electronic.

10.3 These terms are issued in English and Arabic; the English text governs as between us.
